Affiliate Program Terms & Conditions

1. Overview

These Terms and Conditions ("Agreement") govern your participation in the OneVa.ai Affiliate Program ("Program"). By signing up for the Program, you agree to be bound by this Agreement. OneVa.ai reserves the right to update these terms at any time, and continued participation constitutes acceptance of any changes.

2. Eligibility

To participate in the Program, you must be at least 18 years old and capable of entering into a legally binding agreement. OneVa.ai reserves the right to approve or reject any affiliate application at its sole discretion. Acceptance into the Program is not guaranteed.

3. Affiliate Obligations

As an affiliate, you agree to:

• Promote OneVa.ai in an honest, ethical, and lawful manner.
• Not engage in misleading, deceptive, or spammy promotional practices.
• Not use OneVa.ai trademarks or branding in a way that implies endorsement or partnership beyond the affiliate relationship.
• Not bid on OneVa.ai branded keywords in paid search campaigns without prior written approval.
• Not generate fraudulent clicks, signups, or referrals through any automated, deceptive, or artificial means.
• Comply with all applicable laws and regulations, including CAN-SPAM, GDPR, and FTC disclosure requirements.

4. Referral Tracking & Attribution

OneVa.ai uses an internal tracking system to monitor affiliate referrals, clicks, signups, and conversions. While we make every reasonable effort to ensure the accuracy of our tracking, you acknowledge and agree that:

• The tracking system is proprietary and maintained internally by OneVa.ai.
• No tracking system is perfect. There may be occasional discrepancies, errors, or omissions in click counts, referral attribution, or conversion tracking.
• Factors outside our control — including but not limited to browser settings, ad blockers, cookie clearing, VPN usage, and device switching — may affect tracking accuracy.
• OneVa.ai will use commercially reasonable efforts to identify and correct any tracking errors brought to our attention, but we cannot guarantee 100% accuracy.
• OneVa.ai shall not be held liable for any lost commissions, revenue, or other damages arising from tracking inaccuracies or system errors.
• If you believe there is a tracking discrepancy, you may contact us and we will investigate in good faith. We will make our best effort to resolve any confirmed issues promptly.

Referral attribution is determined by a 30-day cookie window. If a referred user clears their cookies or uses a different device to sign up, attribution may not be captured.

5. Commissions & Payouts

• Affiliates earn a 40% recurring commission on the monthly platform fee ($39.99/month) for each referred client who becomes and remains an active, paying customer.
• Commissions are calculated monthly based on active client status as determined by OneVa.ai.
• Commissions become eligible for payout after a minimum 30-day holding period to account for refunds, chargebacks, or cancellations.
• OneVa.ai will process payouts via the method specified in your affiliate account settings (e.g., PayPal, bank transfer, Venmo).
• A minimum payout threshold of $50 may apply. Balances below the threshold will roll over to the next payout period.
• OneVa.ai reserves the right to withhold or reverse commissions generated through fraudulent, deceptive, or policy-violating activity.
• Commission rates are subject to change with 30 days' written notice. Changes will not affect commissions already earned on existing referrals.

6. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the Program:

• Self-referrals or referring your own accounts to earn commissions.
• Using spam, unsolicited emails, or bulk messaging to promote referral links.
• Cookie stuffing, click fraud, or any form of artificial traffic generation.
• Misrepresenting OneVa.ai's services, pricing, or capabilities.
• Creating websites or content that could be confused with official OneVa.ai properties.
• Violating any applicable laws or third-party terms of service in connection with your promotional activities.

7. Termination

Either party may terminate this Agreement at any time for any reason. Upon termination:

• You will no longer earn commissions on new referrals.
• Any pending, unpaid commissions that have met the holding period and payout threshold will be paid out within 60 days of termination.
• Commissions earned through fraudulent or policy-violating activity will be forfeited.
• You must immediately cease all use of OneVa.ai branding, trademarks, and promotional materials.

OneVa.ai reserves the right to suspend or terminate any affiliate account that violates these terms, engages in suspicious activity, or brings the OneVa.ai brand into disrepute.

8. Limitation of Liability

To the maximum extent permitted by law, OneVa.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, including but not limited to lost commissions due to tracking errors, system downtime, or technical issues. OneVa.ai's total liability under this Agreement shall not exceed the total commissions paid to you in the 12 months preceding the claim. The Program and all related services are provided "as is" without warranties of any kind, express or implied.

9. Indemnification

You agree to indemnify and hold harmless OneVa.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your promotional activities, your violation of these terms, or your violation of any applicable law or third-party rights.

10. Intellectual Property

OneVa.ai grants you a limited, non-exclusive, revocable license to use our name and logo solely for the purpose of promoting the Program. This license does not grant you any ownership rights. All intellectual property related to OneVa.ai remains the sole property of OneVa.ai. You may not modify, alter, or create derivative works from our branding without prior written consent.

11. Relationship of Parties

You are an independent contractor and not an employee, partner, or agent of OneVa.ai. Nothing in this Agreement creates a joint venture, partnership, or employment relationship. You are solely responsible for your own taxes, insurance, and compliance with applicable laws.

12. Modifications

OneVa.ai reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated via email or through your affiliate dashboard. Continued participation in the Program after changes take effect constitutes acceptance of the revised terms.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United States.

Mandatory Arbitration: By participating in the Affiliate Program, you agree that any dispute, claim, or controversy arising out of or relating to this Agreement, your participation in the Program, or the tracking, calculation, or payment of commissions — including any claims of fraud, misrepresentation, or breach of contract — shall be resolved exclusively through binding arbitration and not through litigation in any court. You expressly waive your right to file a lawsuit in court or to have a jury trial for any such dispute.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA) or a mutually agreed-upon arbitration provider. The arbitration shall take place remotely (via video or telephone conference) or at a location mutually agreed upon by both parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or dispute resolution shall be conducted on an individual basis only. You waive your right to participate in any class action, collective action, or representative proceeding against OneVa.ai.

Informal Resolution First: Before initiating arbitration, you agree to first contact us at support@oneva.ai and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.
